TERMS AND CONDITIONS

1. INTRODUCTION

 

Welcome to Eat100, a service owned and operated by T Square International Limited, a company registered in Hong Kong ("Eat100," "we," or "our").
 

Eat100's mission is to combat food waste and make surplus food available to consumers in Hong Kong.
 

These terms and conditions ("Terms") govern your use of the Eat100 mobile application and website (collectively, the "Platform") and your participation in our food rescue and surplus food purchase services (the "Service").
 

By using the Platform and the Service, you ("Customer" or "you") agree to be bound by these Terms. Please read these Terms carefully before using our Platform or placing an order. If you do not agree to these Terms, please do not use our Service.

2. EAT100 CONCEPT

Eat100 provides a platform for Customers to reserve surplus food and other surplus products, including "Magic Bags," from participating food stores, restaurants, supermarkets, bakeries, hotels, gas stations, and other establishments ("Stores") in Hong Kong. The reservation process allows Customers to place orders for surplus food via the Platform.

Eat100 acts solely as a facilitator, connecting Customers with Stores and arranging the sale of surplus food. There is no direct contractual relationship between Eat100 and Customers regarding the Products (surplus food) or the sale of Products. Eat100 is not responsible for the fulfillment of the agreement between the Store and the Customer.

Eat100 is also responsible for processing payments on behalf of the Store and acts as a payment agent.

3. ACCEPTANCE

By using our Platform and Services, you confirm that:

  • You have the legal capacity to enter into binding agreements.

  • You are a consumer shopping for personal purposes.

  • You are at least 18 years old.

  • You possess a valid payment method for use on the Platform.
     

By accepting these Terms, you consent to receive all relevant information in English. You also agree to receive emails and text messages related to your orders placed through Eat100.
 

Eat100 reserves the right to revise and amend these Terms from time to time. Your orders will be subject to the Terms applicable at the time when you placed the order.

4. PRODUCT AND PRODUCT INFORMATION

Eat100 facilitates the connection between Customers and Stores, and we do not manufacture, sell, purchase, store, prepare, produce, process, mark, pack, deliver, or handle the Products. We are not responsible for the fulfillment of contractual obligations between Customers and Stores regarding the Products, including their quality, ingredients, allergens, or compliance with applicable legislation.
 

Customers can find information about the Products and their descriptions on the Platform. This information is provided for reference purposes to help Customers evaluate Products before making reservations. Eat100 does not guarantee the accuracy or availability of information on the Platform.
 

If you have questions about allergy warnings, dish ingredients, or any other menu-related information, please contact the Store directly before ordering. Store contact information is available on the Platform.
 

Upon pickup, the Store will provide Customers with information regarding ingredients, allergens, and other labeling-related information. Customers are responsible for consuming Products immediately after pickup and following any instructions provided by the Store.
 

Eat100 is not liable for any adverse reactions to Products consumed inconsistently with labeling or information provided.

5. RESERVATION OF PRODUCTS

Customers can browse active Stores on the app, which may be sorted based on proximity. Customers can select a Store and Products and then place their orders by clicking "reserve" or a similar button.
 

The availability of Products on the Platform is an invitation for Customers to place reservations.
 

A reservation order placed via the Platform ("Reservation Order") is considered an offer by the Customer to purchase a Product. The Reservation Order is accepted by the Store upon pickup.

 

6. RESERVATION CONFIRMATION

Upon receiving a Reservation Order, Eat100 will process it and send a Reservation Confirmation to the Customer. The Reservation Confirmation confirms the receipt of the Reservation Order and its processing.
 

Please note that the Reservation Confirmation does not guarantee the acceptance of the reservation by the Store; it merely acknowledges receipt.

7. RIGHT OF CANCELLATION

Eat100's concept is to reduce food waste, and therefore, if the Store has no surplus Products, they may cancel the Reservation Order up until two hours before the agreed pickup time.
 

Customers can cancel Reservation Orders until two hours before the scheduled pickup time. However, customers may cancel Reservation Orders at any time before pickup if the cancellation is due to ingredients, allergens, or other labeling-related issues.

Customers must communicate their decision to cancel the Reservation Order through the complaint link on the Platform.

8. PICKUP

Products reserved on the Platform must be picked up by the Customer at the specified pickup address. The pickup time will be provided on the Platform and in the Reservation Confirmation.
 

If a Customer arrives early, please wait outside the Store to avoid disrupting other guests. If a Customer arrives late, the Store may be closed or the Product may be unavailable.
 

The Store may sell the Product to another Customer if the original Customer does not pick up the Reservation Order within the specified time. In such cases, Eat100 may charge the Purchase Price from the Customer.
 

Upon pickup, Customers must show their Reservation Confirmation in the Eat100 app to the Store's employees. The Customer is responsible for verifying that the Products received match their reservation.

9. PRICE

All prices on the Platform are indicated in the currency of Hong Kong dollars (HKD). Any fees related to orders and payment will be calculated and listed when placing a Reservation Order.

10. PAYMENT

Customers can make payments using various debit and credit cards and other payment methods available on the Platform.

Payment information, including card number, expiration date, and security code, is required when placing a Reservation Order.

Upon placing a Reservation Order, the Purchase Price is authorized or reserved at the Customer's account. The Purchase Price is charged at the Customer's account upon reservation or at pickup, depending on the chosen payment method. If the reservation is canceled in accordance with these Terms, the Purchase Price is canceled or refunded to the Customer.

Eat100 may amend the payment procedure for its Customers as deemed reasonable.

 

11. RIGHT OF COMPLAINT

If you have a complaint concerning a Product or the Service, please contact Eat100's Customer Service before taking any other action. We will handle all complaints as we deem appropriate, and our decisions regarding the Product are final.

12. CUSTOMER REVIEWS

We encourage Customers to provide reviews and feedback on the Platform. However, please note that reviews must not:

  • Contain defamatory, obscene, or offensive material.

  • Promote violence or discrimination.

  • Infringe the intellectual property rights of others.

  • Breach any legal duty to a third party.

  • Promote illegal activity or invade another's privacy.

  • Misrepresent your identity or affiliation.
     

Eat100 reserves the right to remove or edit reviews that violate these guidelines or are deemed fraudulent.

Reviews on the Platform are for informational purposes only and do not constitute advice from Eat100. Opinions expressed in reviews are those of the Customers or third parties, and Eat100 assumes no responsibility or liability for the content of reviews.

13. CUSTOMER BEHAVIOR

Customers are expected to treat Store guests, personnel, and Eat100's personnel with respect. Inappropriate behavior, including criminal activity, may result in a Customer being banned, excluded, or suspended from the Platform and Services.

14. LIMITATION OF LIABILITY

Eat100 shall not be liable for losses arising from matters for which a Store bears responsibility, faults of third parties, or non-attributable interruptions of Platform availability.
 

Eat100 is not liable for any failure or non-compliance related to the Services caused by circumstances outside our control, including legislative changes, acts of authorities, acts of war, terrorism, strikes, physical blockades, lockouts, and natural disasters.
 

Eat100's liability is limited to direct losses and does not extend to indirect or consequential losses.

15. INTELLECTUAL PROPERTY

Customers may use the Platform and print and download extracts for personal non-commercial use. Customers must not misuse the Platform, modify materials, or use them for commercial purposes without obtaining a license from Eat100.
 

The copyright and other intellectual property rights in the Platform and material published on it are owned by Eat100 or its licensors.

16. GOVERNING LAW

These Terms and any disputes related to them or the Service are subject to the laws of Hong Kong. Any disputes shall be resolved by the courts of Hong Kong, or you may submit a complaint to the relevant consumer protection authority in Hong Kong.
